5 Common Legal Mistakes Most Business Owners Make & How To Avoid Them!

I am passionate about helping small businesses succeed. Coming from a family of designers and business owners, I love being and supporting entrepreneurs. I grew up watching the day to day lives of entrepreneurs and I know how important it is to have a supportive and reliable team of experts.

I remember the time a family friend who was setting up his business in New York and was trying to raise money from an investor. He signed a contract given to him by the investor without having it reviewed by an attorney. But there was a clause in the contract which prohibited him from talking to or raising money from other investors for a period of time. The investor reneged at the last minute and backed away from the investment leaving my family friend in a dire financial crisis. He could not pursue any other investor because of the exclusivity clause in the contract he signed. He could have avoided this situation had he consulted a lawyer before signing the contract. I see this happen all the time.

Business owners often wear many hats and tend to resolve legal and corporate issues without the assistance of a lawyer. I started my own firm, Nupur Shah Law, specifically designed to educate and provide creative legal solutions to startups, entrepreneurs, and small to mid-sized businesses. I advise clients on intellectual property portfolio creation, development, registration, management and enforcement. I also advise clients on business formations and design ironclad contracts to help protect their business. I am experienced in representing clients before the Trademark Trial and Appeal Board in opposition and cancellation proceedings and in monitoring, enforcement and defense of intellectual property rights. In addition, I have represented clients in litigation proceedings involving intellectual property law claims before Federal Courts in New York, California and Florida, and understand issues and pitfalls in a transaction that could potentially lead to litigation.

I strive to obtain a comprehensive understanding of my clients’ business and provide customized IP counseling and ongoing business advice. I understand that the needs of business owners are multidimensional, and resources limited. I work on a predetermined fixed fee basis on all projects to provide certainty to clients.
